4. DESCRIPTION OF OUR SERVICES

4.1 We provide an online trading platform for Users to carry out the holding ("holding") and trading of Digital Assets. Users may request the withdrawal of their Digital Assets at any time, subject to these Terms and to the applicable terms governing specific services, provided that Users have a sufficient balance in their Accounts. We may not process a withdrawal request if, in our reasonable opinion, we determine that the Applicable Laws and Regulations prevent such withdrawal. We may also suspend withdrawals at any time we deem appropriate in order to resolve any incident on the OKX Platform.

4.2 The Services we offer may include, among others, the following:

  • An order pairing and matching platform that matches Users' orders for Digital Assets or their products relating to a Digital Asset based on pre-established criteria.

  • To the extent permitted by the Applicable Laws and Regulations, Users may be eligible for Margin products at our discretion. The parameters and leverage permitted for each product may vary, depending on market conditions, the type of service, the type of asset and the amount of collateral used in the transaction. Users of Margin products acknowledge, in all cases, that these products and other leveraged products are high-risk, may result in a loss exceeding the value of the assets held in their Accounts, and may require the liquidation of their assets in accordance with the provisions of the terms governing Margin for each product.

4.3 Not all Services offered by OKX are addressed in these Terms. Any Service may be subject to terms that are specific to that particular Service. To learn about the terms governing any other Service specifically, please consult the OKX Platform. All terms referred to in this Clause 4.3 are incorporated into these Terms.

4.4 In general, our Services facilitate transactions between Users. In certain limited circumstances, Related Parties may trade on the OKX Platform or use other Services privately, acting as "principal" or acting on behalf of others. This trading activity may include, among others, buying or selling Digital Assets, creating Orders to buy or sell Digital Assets, acting as a market maker ("market maker") for certain Digital Assets, and "trading as principal" ("trading as a principal") in Digital Asset transactions. Orders submitted and trades executed by Related Parties are not differentiated from other trades on the OKX Platform. Therefore, your trade may be matched and executed against Related Parties. In addition, the trading activity of Related Parties, as described herein, may include Related Parties engaging in transactions with multiple counterparties, including other Users, whose interests may differ. OKX and its Related Parties have no obligation to act solely on your behalf and assume no responsibility to do so. You consent to, and do not object to, the trading activity of OKX and its Related Parties, including, among others, that your trade may be matched and executed against Related Parties, and you agree not to bring any claim against OKX or its Related Parties if your trade is matched and executed in accordance with the Terms.

4.5 Users' digital assets are not under any deposit protection nor protected by a deposit insurance system. In the event of an irreconcilable shortfall, the deposited assets or funds may not be recoverable in full.

4.6 Unless you and OKX agree otherwise separately, you represent and warrant that you are the legal owner and the ultimate and effective beneficiary of any Digital Asset transferred to your Account or wallet on the OKX Platform, that you will not act as nominee or trustee for any other person, and that you will not transfer, assign, pledge, charge or create any security interest or encumbrance of any kind over such Digital Assets.

4.7 Orders will not be accepted unless sufficient Digital Assets or Local Currency are available in the Account for: (a) the settlement of the corresponding order; (b) the provision of Margin that may be required with respect to a relevant derivatives transaction; or (c) the payment of any related fees and expenses, as applicable.

4.8 While we have taken reasonable measures to ensure the accuracy of the information on the OKX Platform, the information and content of the OKX Platform are subject to change without prior notice and are provided for the sole purpose of assisting users in making decisions independently. We do not guarantee the accuracy, reliability, completeness, performance or fitness with respect to the content of the Services or of the products available through the OKX Platform, and we disclaim all liability to the fullest extent permitted by the Applicable Laws and Regulations for any loss or damage that may result directly or indirectly from the content provided on the OKX Platform, your inability to access the OKX Platform, or any delay or failure in the transmission or receipt of instructions or notices sent through the OKX Platform.

4.9 You are solely responsible for obtaining a suitable device to access the Services and for bearing the costs of accessing the Platform or using the Services, including (but not limited to): (a) an Internet-connected device such as a computer or other Internet-connected terminals; and (b) Internet access costs, such as Internet fees, rental charges for Internet-connected equipment, mobile data fees, etc.

4.10 You hereby authorize us to send you communications related to your Account by email, SMS or mobile notification or to the address you provide to us. You may opt out of receiving certain communications by changing the respective settings on the OKX Platform. You must ensure that your contact details are correct and up to date.

4.11 You accept and consent that the Services are offered by us based on our current technological capacity and other conditions. While we have made reasonable efforts to ensure the continuity and security of the Services, we cannot fully anticipate and mitigate legal, technological and other risks, including, among others, force majeure, viruses, hacker attacks, system instability, failures of third-party Services, acts of government or government agencies, etc., which may result in service interruption, data loss and other losses and risks.

4.12 We assume no liability for damages when the OKX Platform is unable to function properly due to the following circumstances and the user is unable to access the Services or place or cancel an order. These circumstances include, among others, the following:

  • System downtime during planned or unplanned maintenance.

  • Problems with telecommunications equipment or networks.

  • Typhoon, earthquake, tsunami, flood, power outage, war, terrorist attack, pandemic and other force majeure factors.

  • Any other problem, including hacker attacks, computer virus intrusions or attacks, website or "backend" maintenance and upgrades, banking-related problems, government regulations or mandates, a freeze order imposed by any Competent Authority and any other third-party problem.

  • Damages caused by third parties.

4.13 In relation to the Services provided on the OKX Platform:

  • We reserve the right to process, cancel, correct, claw back and reverse any Digital Asset transaction or transfer, or to cancel the results of irregular transactions, in our sole and absolute discretion, even after the funds have been debited from your Account, in the following cases: (i) unusual transactions, market disruption and other unusual conditions caused by or arising from the following: system failures, platform system errors, network failures, distributed denial-of-service (DDoS) attacks and other hacker attacks and other unexpected factors; (ii) in response to a subpoena, court order or other order of a Competent Authority; or (iii) upon our suspicion that the transaction may (a) involve money laundering, terrorist financing, fraud or any other type of financial crime or prohibited activity; (b) contain errors; or (c) be related to a Prohibited use or Business in accordance with these Terms. In cases where transactions are reversed, OKX will debit the corresponding Digital Assets or Local Currency (as the case may be) from your Account in order to recover the Losses arising from such transactions, and we have no obligation to reinstate any buy or sell order at the same price or on the same terms as those of the cancelled transactions.

  • We strictly prohibit unfair trading behavior. OKX reserves the right, in its sole and absolute discretion, to take control of your Account if it is suspected, in our sole and absolute discretion, that: (i) you have engaged in insider trading, market manipulation, market distortion or any other malicious conduct; (ii) you are harming other users or OKX by exploiting vulnerabilities of the Services or other means; or (iii) you have engaged in any other activity that OKX considers detrimental to the general welfare of the market or of its users. We also reserve the right to take measures, including, but not limited to, the following: the closure, suspension or restriction of your Account, the voiding, cancellation or reversal of transactions, or other actions without prior notice that we deem reasonable in our sole and absolute discretion to eliminate or mitigate any adverse effect on the general welfare of the market. In no event will we be liable to you for any loss that may arise from the implementation of the aforementioned measures.

4.14 We will not ask our users for any password or private key, nor will we ask users to transfer funds or Digital Assets. Accordingly, we will not be liable for any loss caused by your transfer of funds or Digital Assets in such cases.

4.15 You agree that we may remove any Digital Asset from the OKX Platform at any time and in our absolute discretion.

4.16 The Applicable Laws and Regulations may require us to collect various information from all Users who use our products or services. You undertake to provide us with complete and accurate information when requested and you allow us to keep a record of such information for at least the period stipulated by the Applicable Laws and Regulations. If we have reasonable grounds to suspect that you have provided false, outdated or incomplete information, we are entitled to restrict your use of some or all of the Services temporarily or permanently. In addition, in the event that Users refuse to provide the requested information or otherwise fail to comply with this requirement in a timely manner, we may, without prior notice, immediately suspend or terminate your access to your Account or to all or part of the Services.

4.17 Digital Assets that you purchase with a debit or credit card will be credited to your Account, and our obligation in this regard will be deemed fulfilled when the Digital Asset purchased by you is credited to your Account. We are not responsible for any loss that may occur after that time. You are solely responsible for the management of such Digital Assets after they have been credited.

5. TRADING ON THE OKX PLATFORM

5.1 You may buy or sell a Digital Asset by creating an Order on the OKX Platform.

5.2 You must verify all transaction information before submitting an Order. You understand and agree that ensuring the validity and accuracy of all actions taken with your Account is solely your responsibility. This includes the wallet address details of any asset being transferred. OKX is not responsible for the consequences that may result from your providing invalid or inaccurate information.

5.3 The OKX Platform may not be accessible during scheduled maintenance or in cases of unexpected interruptions or outages that are beyond the reasonable control of the OKX Platform. OKX will endeavor to notify you of downtime due to scheduled maintenance when possible.

5.4 OKX may, in its sole discretion and without prior notice, close or suspend your Account and your access to the Services, reject any Order submitted, or impose trading limits on your Account if it considers that you may have violated any of the Applicable Laws and Regulations.

5.5 You may only place an Order using the OKX Platform if your Account has sufficient Assets to cover the Order and the associated fees. We have the right to refuse to execute any Order if the user does not have sufficient Digital Assets or Local Currency in the Account to carry out the Order.

5.6 Upon placing an Order, the amount of the corresponding Asset (including applicable fees) will be held in your Account until the Order is completed, executed or cancelled.

5.7 You may withdraw or cancel an Order after you have submitted it, provided that it has not yet been executed. In addition, you understand and agree:

(a) that trades are irreversible once the Orders have been executed, and

(b) that, although under certain extraordinary conditions (such as violations of the Applicable Laws and Regulations), OKX may reverse a Trade in its sole and absolute discretion, you are not entitled to do so.

5.8 You understand and agree that:

(a) by initiating an Order on the OKX Platform, you are instructing OKX to carry it out and you agree to pay the associated fees. The price of a Trade is determined between the parties to that Trade. OKX does not guarantee the completion or execution of any Order;

(b) OKX carries out all Orders based on price/time priority, regardless of the method used or the type of user;

(c) settlement of all executed Orders is carried out by debiting and crediting the corresponding Asset balances in the Accounts of both parties, and Users will receive a notification of their executions through the OKX Platform, by email or by any other agreed means of communication (you can view these notifications in your trading history); and (d) OKX may limit, in its sole discretion, the number of Orders placed from a User's Account, regardless of the method chosen, in order to maintain fairness and order on the OKX Platform.

5.9 Use of the API may be subject to order rate limits. Repeatedly exceeding the order rate limits may result in the suspension or closure of the Account.

5.10 It is your responsibility to stay informed of the current transaction history of your own Account.

5.11 You understand and agree that, although we strive to execute all trades on time, situations may arise in which a Trade is delayed. You agree that OKX shall not be liable for any damage or loss resulting therefrom.

Suspension of Services

5.12 You acknowledge and agree that OKX, at its sole and absolute discretion, may suspend all or part of the Services, or your access to all or part of the Services, whenever OKX determines that:

(a) You may have breached any of these Terms; or

(b) a situation arises that may affect the proper functioning of the OKX Platform.

5.13 For the purposes of Clause 5.12(b), such situations include, but not limited to, the following circumstances:

(a) when an IT or telecommunications network ceases to operate or function as intended;

(b) a Force Majeure Event affects the provision of the Services;

(c) when an attempted or actual malicious action causes a risk of damage or loss to OKX or its Users;

(d) when an event affects the proper functioning of any internal system relied upon by the OKX Platform for the provision of the Services;

(e) when OKX suspects there is unauthorized use of the OKX Platform, a breach of these Terms, or a breach of any Applicable Laws and Regulations;

(f) when OKX determines that such action is necessary to ensure compliance with all Applicable Laws and Regulations;

(g) when OKX decides to cease handling a Digital Asset due to changes to the nature of such Digital Asset; or

(h) when for any other reason, OKX determines at its sole discretion that the suspension is necessary.

6. SUSPENSION OF THE SERVICES

6.1 You acknowledge and agree that OKX, in its sole and absolute discretion, may suspend all or part of the Services, as well as your access to all or part of the Services, whenever OKX determines that:

(a) you have breached any of the clauses of these Terms, or

(b) a situation has arisen that may affect the proper functioning of the OKX Platform.

6.2 For the purposes of Clause 5.12.(b), such situations include the following:

(a) A computer or telecommunications network stops working or does not work as it should.

(b) A force majeure event affects the provision of the Services.

(c) A harmful act or an attempted harmful act causes a risk of damage or loss to OKX or its Users.

(d) An event affects the proper functioning of an internal system on which the OKX Platform depends for the provision of the Services.

(f) OKX determines that such action is necessary to ensure compliance with all Applicable Laws and Regulations.

(g) OKX decides to stop supporting a Digital Asset due to changes in its nature.

(h) OKX determines, for whatever reason and in its sole discretion, that the suspension is necessary.

7. RISK DISCLOSURE STATEMENT

7.1 Introduction

A. This Clause 6 provides Users with information about the risks associated with trading Digital Assets and with any other Services provided by OKX ("Risk Disclosure Statement"). Applicants and Users should carefully read this Risk Disclosure Statement before applying to open an Account and executing Trades. This Risk Disclosure Statement should be read together with the Risk and Compliance Information.

B. This Clause 6 is not intended to present, or discuss in detail, all the risks associated with trading or holding Digital Assets or using the Services provided by OKX. This Risk Disclosure Statement is not exhaustive and only describes the general nature of the risks involved. Users must ensure that their decisions are made on a well-informed basis and must make their own assessment of the suitability of trading Digital Assets for them in light of their experience, objectives and financial resources, as well as their specific needs and requirements.

C. By opening an Account and placing Trades, a User is deemed to have reviewed, understood and accepted the risks associated with the Services provided by OKX.

D. The Digital Asset market is new and developing rapidly, so the risks of trading Digital Assets are not yet fully known or understood. As such, OKX may update this Risk Disclosure Statement periodically (as Users are informed from time to time) to modify or supplement these risks. However, OKX is not responsible for missing, incomplete or potentially inaccurate risk disclosures.

E. Users acknowledge and agree that it is the User's responsibility to keep up to date with the updated Risk Disclosure Statement published by OKX from time to time.

7.2 Summary of Risks

  • This Risk Disclosure Statement addresses the following risks relating to Digital Asset transactions in connection with:

    • the nature of Digital Assets;

    • the value of Digital Assets and the risk of loss;

    • past performance;

    • suitability;

    • the availability of Digital Assets;

    • currency and conversion;

    • custody;

    • the OKX trading platform

    • financial crime and cybercrime;

    • technology;

    • legality;

    • the market;

    • regulation;

    • the "stop loss" mechanism;

    • margin and leverage;

    • not being a bank, and

    • other potential risks.

7.3 Nature of Digital Assets

A. A Digital Asset is not legal tender in Argentina; therefore, it is not issued or backed by the government or the national authorities.

B. Digital Assets are not covered by Law No. 26,831, unless they fall within the definition of negotiable securities under the terms of article 2 of Law No. 26,831, nor by the powers conferred on the CNV by Law No. 27,739; therefore, the offering documents or product information provided by the issuer have not been subject to review or approval by the CNV and, where applicable, by any regulatory body in Argentina.

C. There is no guarantee that a person who accepts Digital Assets as a form of payment or store of value will continue to do so in the future. Digital Assets may lose part or all of their purchasing power in the long term, and the widespread acceptance of crypto-assets may decline.

D. Digital Assets are generally considered a high-risk asset class. Therefore, you must exercise prudent judgment in your actions when trading Digital Assets (as well as any other asset).

E. The nature of Digital Assets may be very complex, and their terms, features and/or risks may not be readily or fully understandable due to their complex structure, their novelty and their reliance on technological features.

F. The nature of Digital Assets exposes them to risks of fraud or cyberattack.

7.4 Value of Digital Assets and the Risk of Loss

A. Digital Assets are highly volatile and may be high risk, so investors should exercise extreme caution with respect to the products.

B. Investing in Digital Assets carries a high level of risk and, as such, may not be suitable for all investors. Users may lose part or all of their money. A User should not engage in Digital Asset transactions if seeking a regular or low-risk return on their invested capital. Unlike traditional assets, Digital Assets may not have any underlying or intrinsic value as assets, nor any asset backing their price.

C. Trading Digital Assets is highly speculative and involves significant risk. There may be limited or no fundamental rationale behind the price of Digital Assets, and they may be subject to irrational and uncontrollable market forces. Whether the future price of a Digital Asset will rise or fall is unpredictable and purely speculative. Likewise, there is a risk that a Digital Asset may have no value at all. Therefore, Digital Asset trading is carried out at the User's own account and risk.

D. The value of a Digital Asset may derive from the continued willingness of market participants to exchange fiat currency for a Digital Asset, which means that the value of a particular Digital Asset may be completely and permanently lost if the market for that Asset disappears. There is no guarantee that a person who accepts a Digital Asset as payment at present will continue to do so in the future. Certain Digital Assets may be accepted only by some virtual asset service providers and not by others.

E. The extreme volatility and unpredictability of the price of a Digital Asset relative to fiat currencies or traditional investment products. The values of Digital Assets may be subject to the influence of many factors, including liquidity levels, public speculation, drastic changes in investor confidence, operational disruptions and/or competition for market share. As a result, market conditions may change significantly within a very short period of time. Furthermore, the value of a Digital Asset may never recover if it is not the subject of interest or development. Therefore, a User runs the risk of losing all or a substantial part of the value of the User's Digital Assets. Such losses may occur within a very short period of time.

F. The use of instructions in connection with Orders may not necessarily limit losses to the amount stated, and market conditions may make it impossible to execute an Order or obtain the limit price.

G. Users may be exposed to the risk of potential losses that reach or even exceed the total amount of their invested capital. Users should only invest capital that they can afford to lose without affecting their standard of living and that is proportionate to their income. Users should stop trading Digital Assets if their personal situation no longer allows them to do so.

H. The prices of Digital Assets may fluctuate greatly depending on global or local supply and demand, including, among others, large sales by "holders" (titulares) with significant positions in certain Digital Assets.

I. Digital Asset trading is not appropriate for persons with:

  • limited resources;

  • limited investment experience, and/or

  • a low risk appetite with respect to trading or investment losses.

J. The User must ensure that they understand the economic and other risks involved in trading Digital Assets. The User should seek professional advice where appropriate.

K. Before opening an Account, the User is deemed to have assessed and confirmed that they understand the risks involved.

7.5 Past performance

A. The value of any Digital Asset may decrease or increase. Digital Asset trading may be susceptible to irrational market forces. Any data on the past performance of a Digital Asset does not guarantee future performance and may not be a reliable indicator of such future performance.

B. Digital Asset trading has a relatively limited history.

7.6 Suitability

7.6 Suitability

A. OKX provides an execution-only service and does not offer advice on the merits of any particular Trade, on trading risks or on the associated tax consequences. OKX does not provide any type of financial, investment, tax or legal advice in connection with the Services.

B. OKX acts as a platform for the commercial execution of Orders and the custody of Digital Assets. As detailed in Clause 4.6, OKX and its Related Parties may engage in certain trading activities.

C. Therefore, OKX is not responsible for assessing:

  • whether the Services are suitable for a User, or

  • whether any Trade is suitable for the User's needs.

D. Any information provided on the OKX Platform is for informational purposes only and is not, and is not intended to be, financial advice, investment advice, a financial advisory service, a trading recommendation or advice of any other kind. OKX does not guarantee the accuracy, completeness or usefulness of this information, and this information should not be considered an offer to buy or sell a Digital Asset. The User is solely responsible for determining whether or not a Trade is appropriate.

E. By opening an Account, the User accepts the risk of trading Digital Assets. By participating in any Trade, a User represents that they have been, are and will be solely responsible for independently carrying out their own assessment and investigation of the risks of each Trade and of the underlying Digital Assets.

F. By using the OKX services, each User represents that they have sufficient knowledge, market sophistication, professional advice and experience to make their own assessment of the features and risks of any Trade or underlying Digital Asset before opening an Account.

G. Each User must ensure that they seek professional advice if necessary, taking into account their investment objectives, their level of experience and their risk tolerance.

H. Each User must be fully aware of the specific features and risks relating to the particular Digital Asset in which they plan to trade.

7.7 Availability of Digital Assets

A. A User's ability to buy Digital Assets using the OKX Platform may depend on the existence of a counterparty willing to sell that same Digital Asset (and vice versa). This is beyond OKX's control. OKX does not guarantee the time at which it will be possible to buy or sell Digital Assets through the OKX Platform, nor their availability.

B. The value of Digital Assets may derive from the continued willingness of Users to trade Digital Assets for Digital Assets, which may result in a potential permanent and total loss of the value of a particular Digital Asset if its market declines sufficiently. Thinly traded or illiquid markets carry a higher potential risk of loss given their greater volatility, and a User may not be able to establish or liquidate positions in a Digital Asset when desired, at favorable prices or at all.

C. A Digital Asset may change or cease to operate as expected due to changes made to its underlying technology or through the use thereof, including those caused by cyberattacks. Such changes may dilute the value of a User's Digital Asset position and distribute the value of a User's Digital Asset position to another Digital Asset.

D. "Fork" or "Bifurcation" refers to an upgrade to the code of a blockchain network that may occur as a result of, for example, disagreements among stakeholders regarding an upgrade to a Digital Asset's protocol or a deliberate effort to revert the blockchain's history to a point prior to a cyberattack. A "Hard Fork" or "Hard Bifurcation" may result in a permanent split from a previous version of the blockchain ("blockchain") and will effectively give rise to a new Digital Asset. The occurrence of a Fork is beyond OKX's control. The offering of Digital Assets as a result of a Fork or similar changes to the protocols of a Digital Asset, and OKX's ability to offer Services for the new Digital Asset that arises as a result, may depend on third-party providers that are beyond OKX's control. OKX does not own or control any of the protocols used in connection with Digital Assets and their related networks. Accordingly, OKX is not responsible with respect to such protocols or for any change in the value of any Digital Asset (whether as a result of a Fork, any similar change to a Digital Asset's protocol or otherwise), and OKX makes no guarantees with respect to the security, functionality or availability of such protocols.

E. A User is deemed to accept all risks related to the use of the Services, including, among others, failures of hardware, software and Internet connections.

F. There is a risk that you may suffer losses due to the inability to sell the Digital Assets for another alternative asset of your preference or to convert them into such other alternative asset immediately, or in such a way that the conversion is possible but occurs at a loss. This liquidity risk of a Digital Asset may be due to many reasons, including the absence of buyers, limited buying/selling activity or underdeveloped secondary markets.

7.8 Currency & Conversion

A. Trades may be executed in a currency different from the currency that the User deposited in their Account. The User should investigate and be aware of the currency fluctuation risk and any related risk, as they may be applicable. A movement in an exchange rate may have a positive or adverse effect on the gain or loss achieved on any Trade.

B. If you convert Digital Assets after the execution of an order or when an order is denominated in a particular Digital Asset other than your primary reference asset, there is a risk that, if the markets move against your position at or before maturity, the net proceeds may be significantly lower than the initial amount in your primary reference asset and any income or profit may be entirely wiped out.

7.9 Custody

A. OKX may hold Local Currency and Digital Assets with third parties. However, the Digital Assets held by OKX are not "deposits" nor are they intended to be held as any other product or service regulated by the Applicable Laws.

B. In certain circumstances permitted by the Applicable Laws and Regulations or by the market practice of the relevant jurisdiction, OKX may register a User's Account in the name of the custodian or under the name of OKX. If Accounts are held in the name of the custodian or in the name of OKX, such assets may not be segregated from OKX's assets and, in the event of default by the custodian or by OKX, they may likewise not be protected against claims by the creditors of the custodian or of OKX. They would be so protected in the event that the User's client assets had been segregated from the assets of the custodian or of OKX. In the specific case of OKX Singapore Users, Users' assets are held in one or more segregated custody accounts in a trust for the benefit of the Users.

C. In the event of insolvency or any other analogous proceeding of a third party holding a User's Local Currencies or Digital Assets, OKX may have only an unsecured claim against the third party on behalf of a User, and a User may be exposed to the risk that the Local Currency, Digital Assets or any other property received by OKX from the third party is insufficient to satisfy the User's claim and the claims of all other relevant Users.P| D. If OKX deposits a User's Local Currency or Digital Assets with a third party, such Local Currency or Digital Assets may be pooled with those belonging to other Users. In such circumstances, a User's individual client entitlements may not be separately identifiable by separate certificates, other physical documents of title or equivalent electronic records and, in the event of an irreconcilable shortfall following the insolvency of OKX, any User whose assets have been pooled may share in that shortfall in proportion to their original assets that were pooled. Any rights or other benefits arising with respect to the pooled assets will be allocated pro rata to each User whose assets are pooled.

E. Local Currency and Digital Assets may be held by a third party appointed in good faith by OKX or by OKX's nominees or sub-custodians. These third parties are not under the control of OKX and OKX does not accept any liability for any default of any nature by these third parties and, in the event that such default occurs, a User may suffer a total or partial loss related to the User's Account. The extent to which a User may recover their Local Currency and Digital Assets in a jurisdiction may be governed by specific legislation or by local regulations.

7.10 OKX Trading Platform

A. Digital Asset transactions may not be subject to a right of claim under an investor compensation fund established by a government or a regulatory authority.

B. Digital Asset transactions are deemed executed only when they are recorded and confirmed by the trading platform, which does not necessarily coincide with the time at which the client initiates the transaction.

C. During the course of your use of our Services, you may become subject to various fees. Before carrying out any transaction, you must obtain the details of the fees, charges and costs for which you may be liable and fully understand such details. If any of these fees is unclear to you, you must request clarification as to which fees will be applicable in monetary and specific terms before using the Services or carrying out any transaction.

D. Please note that Digital Assets received or held by OKX may be subject to the Applicable Laws of international jurisdictions over and above those of your country of residence or citizenship.

E. The loss or theft of private keys may result in the total loss of access to Digital Assets with no possibility of recovery.

F. There are substantial risks in allowing another person to operate an Account that you hold with us or to trade with such Account, and the instructions you provide may not be duly authorized or may not be duly executed. You accept all the risks of this operation and fully and irrevocably release OKX from any liability arising out of or in connection with all of the foregoing.

G. Digital Asset transactions are irreversible. Therefore, accidental or fraudulent transactions related to Digital Assets may not be recoverable. Therefore, you must exercise caution when making any transfer of Digital Assets and you are solely responsible for any losses that may result therefrom.

H. An order placed on the OKX platform is binding once the steps described in these Terms are completed. An order will not be reserved unless otherwise provided in these Terms. There is a risk that the final binding order will not occur simultaneously with, and in accordance with, your instructions. Therefore, you may suffer losses due to the fact that an order is not carried out at the desired time. In particular, in dependent orders, such as options or perpetual swaps, your losses may not be limited to the anticipated amounts due to the volatility of market conditions.

I. There is a real risk that unauthorized third parties may access your Account and carry out transactions without your knowledge or authorization, whether by obtaining control over a device or account that you use or by other methods.

J. OKX is not obligated to provide any adaptation, improvement or modification of the materials and information provided on the OKX Platform. This means, for example, that you may have an outdated version of the OKX application ("OKX app") and that new features may not be incorporated into the version of the application you use. It is your responsibility to ensure that you update and download the current updates and versions.

7.11 Financial and Cyber Crime

A. The nature of Digital Assets means that they may be exposed to a higher risk of financial crimes or cyberattacks, including, but not limited to, malware, hacking, phishing, double spending, "smurfing", identity theft, "sybil" attacks, social engineering attacks, majority mining attacks, consensus-based attacks or other mining attacks, disinformation campaigns, distributed denial of service and Forks. The transfer of Digital Assets to a digital wallet exposes the Digital Asset to the risk of loss due to, among other things, security breaches from cyberattacks that hack and steal Digital Assets.

B. The networks on which Digital Assets depend may face interruptions or congestion due to technical problems, cyberattacks or other factors.

C. There are very few methods or, in some cases, almost none to recover lost or stolen Digital Assets.

D. You may store your Digital Assets in hot wallets, but these hot wallets may carry risks of hacking or cyberattacks or any of the risks mentioned in paragraph 6.50. Interruptions, thefts, cyberattacks and hacks on Digital Asset trading platforms, as well as the theft of Digital Assets, are unfortunately very common. Victims may face extreme difficulty in recovering losses from computer hackers, trading platforms or other organizations or individuals related to the sector. This could result in significant losses and other adverse impacts that could materially affect your interests.

7.12 Technology

A. Understanding Digital Assets may require advanced technical knowledge. Digital Assets are often described in extremely technical language that may require a comprehensive understanding of applied cryptography and computer science in order to appreciate the inherent risks. The listing of a Digital Asset on the OKX Platform does not indicate approval or disapproval by OKX of the underlying technology with respect to that Digital Asset and should not be used as a substitute for each User's understanding of the risks associated with that Digital Asset.

B. The software protocols and governance structures underlying Digital Assets are often open source or based on various decentralized or "open" governance models that may depend on autonomous agents or on anonymous or pseudonymous actors.

  • The development and control of these Digital Assets is outside the control of OKX.

  • Digital Assets are subject to sudden and drastic changes that could have a significant impact on the availability, usability and price of a particular Digital Asset.

  • It could be difficult to anticipate or mitigate adverse governance decisions or changes to Digital Assets, which creates additional and often unknown risks.

C. The nature of Digital Assets means that any technological difficulties experienced by OKX could prevent a User from accessing or using their Digital Assets. OKX may suffer sophisticated cyberattacks, unexpected surges in activity or other operational or technical difficulties that may cause interruptions to the Services or result in the loss or theft of Digital Assets. By using the Services, the User agrees to accept the risk that the transaction fails as a consequence of unforeseen or aggravated technical difficulties, including those arising from sophisticated attacks.

D. Digital Asset transactions cannot be reversed. Once a User sends a Digital Asset to a wallet address outside the OKX Platform, there is a risk that the User may lose access to the Digital Asset indefinitely. For example, a wallet address may have been entered incorrectly and the true owner of the wallet address may never be discovered, or a wallet address may belong to an entity that will not return the User's Digital Assets.

E. On that basis, the person in possession of the private key of an external wallet address may be deemed to be the owner of the Digital Assets linked to that external wallet.

F. A potential risk arises if a single entity acquires control of 51% of the computing power (hash rate or "hash rate") of a blockchain network. This "51% attack" could allow the controlling party to spend the same Digital Assets more than once, thereby undermining confidence in blockchain networks as stores of value and means of exchange. A successful attack of this nature could result in a significant decrease in the price of the Digital Asset.

G. The use of the OKX Platform on a jailbroken device (through "jailbreak") may compromise security and lead to losses and the termination of the Services.

H. Digital Assets and the OKX Platform depend on the Internet and other technologies (including various methods and means of communication). However, the public nature of the Internet means that parts of the Internet (or even all of it) may be unreliable or unavailable at any given time. In addition, an interruption, delay, corruption or loss of data, loss of confidentiality or privacy may occur in the course of data transmission, or malware may be transmitted, when transmitting data over the Internet or other technology. The foregoing may result in your transactions not being executed in accordance with your instructions at the requested time or not being executed at all.

I. There is no technology that is completely secure or completely protected. Therefore, you must exercise caution when using any technology.

J. The Internet, as well as other electronic means (including, but not limited to, electronic devices, services of external telecommunications service providers, such as mobile phones or other handheld trading devices or interactive voice response systems) are an inherently unreliable form of communication, and such unreliability may be beyond the control of OKX.

K. Any information (including any document or data) transmitted, or communications or transactions carried out, over the Internet or through other electronic means (including, but not limited to, electronic devices, services of third-party telecommunications service providers, such as mobile phones or other handheld trading devices or interactive voice response systems) may be subject to interruption, transmission blackout, delayed transmission due to data volume, Internet traffic, market volatility or incorrect transmission of data (including an incorrect price quotation) or a pause or delay in the flow of price data due to the public nature of the Internet and other electronic means.

A. You are responsible for complying with the Applicable Laws and Regulations in order to determine which laws apply to your transactions, including applicable tax laws. You are solely responsible for reporting and paying any taxes arising from your use of the Services.

B. Due to the nature of Digital Assets, your bank may freeze your account or reject any incoming funds if your bank concludes that such funds are the result of the purchase or sale of Digital Assets.

7.14 Market

A. You may suffer losses as a result of the depreciation in the value of a Digital Asset that you have paid for as a result of controls imposed by a Competent Authority. The repayment or payment of any amount owed to you may be delayed or even prevented by controls or other actions imposed by governmental or regulatory authorities in relation to Digital Assets or their ecosystem, which such Competent Authorities control or regulate.

B. The supply of Digital Assets may be alterable, whether due to their inherent design or through network events. If additional Digital Assets are created, the price of the Digital Asset in question may decrease due to the inflationary effects of the addition of additional Digital Assets to the total quantity of assets available in the market.

C. At any time, one or more persons may directly or indirectly control significant portions of the total supply of any particular Digital Asset. These persons are often colloquially referred to as "whales". Whether acting individually or collectively, these whales may have a significant impact and may influence or cause significant events in the market that may have a detrimental effect on the price, value or functionality of Digital Assets. In addition, these whales or other network participants and users may make decisions that are not in your best interests as an investor in Digital Assets.

D. The prices of Digital Assets may fluctuate substantially depending on global or local supply and demand (all included).

7.15 Regulatory

A. Any legislative or regulatory change by the Competent Authorities or by any authority not linked to OKX may adversely affect the use, transfer, exchange and value of a Digital Asset or limit your ability to carry out transactions on the OKX Platform.

B. The regulation of Digital Assets is evolving in many jurisdictions. New or amended regulations may restrict the use of Digital Assets or affect their demand, which could influence prices. In addition, banks and other financial institutions may refuse to process funds for transactions related to Digital Assets or to maintain accounts for parties that trade in Digital Assets. As a result, you may be prevented from converting Digital Assets into Local Currency.

7.16 Stop Loss

A. A Stop Order is an offer to carry out a trade if our quote becomes less favorable to you. A Stop Order is generally created to provide some protection against risks. For example, in the event that your Trade goes into a loss, it may be used to open or close a Trade. Each Stop Order has a specific stop level, which is set by you. Your Stop Order will be triggered if our "bid" price (in the case of a sell order) or our "ask" price (in the case of a buy order) moves against you to reach or exceed the level specified by you. Regardless of the specific stop level set by you, the Applicable Laws and Regulations may require us to close all or part of a Trade before your Stop Order is triggered.

B. You accept and understand that Stop Orders will not necessarily limit your losses to the anticipated amounts, since market conditions may make it impossible to execute such Orders at a price close to your intended stop price or may make it impossible to execute them at all. In extremely volatile markets, the price of a Digital Asset may quickly fall below the price of your Stop Order and you may suffer losses far greater than the amount that would have been obtained if your Stop Order had been executed at the Stop Order price.

7.17 Margin and leverage

A. Before you are permitted to enter into a contract with us, you will generally be asked to deposit money with us in what is called the "Margin Requirement". This Margin Requirement is usually a proportional part of the total value of the contract, which means that you will be using "leverage" or "gearing", something that may work in your favor or against you. A small price movement in your favor may result in a high return on the Margin Requirement established for the contract, but a small movement against you may result in substantial losses.

B. For as long as you have open positions, you must ensure that your account balance is at least equal to the total Margin Requirement that we ask you to deposit with us, taking into account running profits and losses. Therefore, if our price moves to your detriment, you may need to provide us with significant additional funds immediately in order to meet your Margin Requirement and keep your positions open. If you fail to do so, we will be entitled to close one, some or all of your positions in any Digital Asset you hold and in our absolute discretion. You will be responsible for any resulting loss.

C. The need to monitor your positions will be even more relevant if you have entered into contracts with us due to the effect of leverage. Leverage or "gearing" increases the rate at which profits or losses may be incurred and, therefore, it is important that you monitor your positions closely.

D. We have no obligation to keep you informed of your account balance and the required Margin (for example, by making a "Margin Call" or "Margin Call"). However, if we do so, the Margin Call may be made by telephone, postal mail, email, text message or through your OKX Platform.

E. We will be entitled, at any time and on short notice, to increase or decrease the Margin we require of you on open Trades. You agree that, regardless of the normal manner in which you and we communicate, we will be entitled to notify you of a change in Margin levels or in the credit arrangements for your account by any of the following means: telephone, email, text message, through our OKX Platform or by posting a notice of such change on our OKX Platform. Any increase in Margin levels shall be payable immediately upon our request. We will only increase Margin requirements or change the credit arrangements of your account when, in our absolute discretion, we reasonably consider it necessary, including, but not limited to, in response to or in anticipation of the following:

  • a change in volatility or liquidity in the Digital Asset market;

  • economic news;

  • rumors that trading in a Digital Asset has been suspended on another Digital Asset trading platform;

  • you altering your trading pattern with us, or

  • any change in the Applicable Laws and Regulations.

F. Subject to the Applicable Laws and Regulations, we reserve the right to specify the form of payment we accept for margin payments.

G. In the event of a possible loophole in the trading rules, a failure in the OKX Platform system or a loophole that unjustly enriches a User, we reserve the right to recover the unjust gains and may take any and all actions necessary to do so, including, but not limited to, restrictions on account transactions, freezing of the Account or of the Account funds, debiting of assets from the Account, initiating formal legal action or any other recovery measure. If a User fails to cooperate, the User will also bear any and all recovery costs.

H. In certain circumstances or situations, it may be difficult or even impossible to liquidate a position in Digital Assets. Certain events that take place on the network may occur rapidly and affect the ability to carry out transactions on the OKX Platform. Information related to such network events may be difficult to predict or determine in advance, and the level of oversight of any third party with capabilities to stabilize such network may be limited.

7.18 OKX is not a bank

OKX is not a bank or any other type of depository institution. Your Account is not a deposit account or a bank account. Our Services are not traditional banking or deposit services. Neither your Account nor your Digital Assets are covered by insurance against losses nor are they subject to any other type of protection, including, but not limited to, the protections of the federal deposit insurance corporation or the securities investor protection corporation.G| 7.19 Other Potential Risks

The website and the Internet pages, investor relations communications, oral or written forecasts, presentations, audio and video recordings of events, and other publications on the websites may contain optimistic and forward-looking statements that reflect the current views of OKX and its management with respect to forward-looking projects and events. Certain words, including, but not limited to, "anticipate", "assume", "believe", "estimate", "expect", "intend", "may", "plan", "project" and "should occur", as well as other expressions that often characterize forward-looking statements. These statements are subject to risks, uncertainties and changes due to many factors, including, but not limited to: changes in Digital Asset and Local Currency exchange rates, in interest rates and in commodity prices, the introduction of new and/or competing technologies and ideas, increased market incentives and a decrease in demand for the current Services or other products.

8. YOUR OKX ACCOUNT

8.1 Account registration and identity verification: to use any of the Services, you are required to provide accurate and complete information in all fields of the registration page in order to verify your identity and so that we can communicate with you regarding Account-related matters. By registering an Account with OKX, you agree and represent that you will use the Account only for yourself and not on behalf of any third party, unless previously approved by OKX. You undertake to provide us with authentic information at the time of registration and on an ongoing basis for purposes of identity verification and detection of money laundering, terrorist financing, fraud or any other financial crime, including (but not limited to) a copy of your government-issued photo identification document and proof of residence, such as a utility bill or a bank statement. If this information changes, it is your obligation to update it as soon as possible. You will be deemed to have received notices sent to the contact address you have provided in our records. You agree that OKX will not be liable for your failure to receive notices sent to your contact address due to circumstances beyond our control, including, but not limited to, messages flagged as "spam" or "junk mail", full email inboxes, and outdated or incorrect contact information provided by you.

8.2 Protecting your Account: you agree to be the only person who accesses your Account unless OKX authorizes otherwise. You are solely responsible for retaining, protecting and safeguarding all keys, certificates, passwords, access codes, user IDs, API keys or other credentials and login information (collectively, "Passwords") that have been provided to you or that are generated in connection with your use of the Services. If you lose your Passwords, you may be unable to access your Account. You undertake to notify us immediately of any unauthorized use of your Passwords or unauthorized access to your Account. We are not responsible for any liability, loss or damage of any kind, whether direct or indirect, arising from the unauthorized use of your Passwords. You agree to be solely responsible for all actions, including losses or damages resulting from the use of your Account or the sharing of your Passwords or other Account access information, whether intentional or unintentional, to the fullest extent permitted by Applicable Laws and Regulations. We will not be liable for any compensation or other legal obligations for loss or damage caused by the circumstances mentioned above. We provide an online trading platform and, to avoid potential security risks, the login password, the administration password and any other password should not be the same. Users must keep all of this information secure against any attack and unauthorized access. Once the user registers on the OKX Platform, the user will obtain the username (user mailbox) and password and will be responsible for all activities and events taking place under this username and password after logging into the system and will assume all legal liability, whether caused directly or indirectly, through language or behavior arising from the use of this username.

8.3 Password recovery: please contact Customer Service to recover your password.

8.4 Account balance: we may, at our discretion, choose to withhold or set off the balance of your Account if any or all of the following conditions occur.

(a) Your open derivatives transactions show notional losses.

(b) We determine that additional Digital Assets may be required to meet any current or future margin requirement on open derivatives positions due to underlying market conditions.

(c) You have actual or contingent liabilities to us under the Terms.

(d) We reasonably determine that there is an unresolved appeal between us with respect to the balance of your Account.

8.5 Account closure: you may request that OKX close your Account at any time. The closure of an Account will not affect the rights and obligations incurred prior to the date of closure of the Account. Before OKX closes your Account, you will be asked to cancel or close all open orders and withdraw all Assets from your Account. You are responsible for any fee, cost, expense, charge or obligation (including, but not limited to, attorneys' and court fees or Local Currency or Digital Asset transfer costs) associated with the closure of your Account. In the event that the costs of closing your Account exceed the value of your Account, you will be responsible for reimbursing us for such costs. You may not close any of your Accounts to avoid paying any fee owed or to avoid any review related to our "AML" program. OKX reserves the absolute right to accept or reject an Account closure request in its sole discretion.

8.6 Account suspension: OKX has the right to suspend your Account at any time and in our sole discretion. You agree that we may freeze or block any Asset in your Account and suspend your access to the OKX Platform if we suspect, in our sole discretion, that there are grounds for such action, including, but not limited to, the following cases:

(a) You are suspected of violating any of these Terms or any other policy, rules, regulations or user agreements.

(b) You are suspected of breaching any OKX program, including, but not limited to, the OKX Anti-Money Laundering (AML) Program.

(c) The Account has a balance that must be subject to reconciliation for any reason.

(d) We suspect that an unauthorized person is attempting to gain access to your Account.

(e) If you are using your credentials or other Account information in an unauthorized or inappropriate manner.

(f) For reasons related to Clauses 7.7 or 12 of these Terms.

(g) An Event of Default has occurred (as defined below in Clause 23.5 of these Terms).

8.7 Investigation: OKX has the right to investigate and take action against you or your Account in our sole discretion. Such actions include (but are not limited to) the suspension, freezing or seizure of your Account in the event that we suspect or have reason to believe that you or your Account:

(a) are the subject of an official investigation by any law enforcement or regulatory authority;

(b) are the subject of any court order, subpoena, court order or other similar document or request;

(c) are the subject of pending or ongoing litigation;

(d) are the subject of a lien, judgment or other asset turnover requirement by a court, a governmental authority or a regulatory authority ("Lien");

(e) violate any law or regulation or have been involved in a violation of any law or regulation, or

(f) are involved in suspicious, illegal or fraudulent activities.

You agree to provide OKX with any additional requested information required to comply with Applicable Laws and Regulations and/or with the information requirements of Competent Authorities.

8.8 Account cancellation: OKX has the right to cancel your Account at any time and for any reason and in our sole discretion. You agree and understand that we, in our sole discretion and in accordance with Applicable Laws and Regulations, have the right to take any action that we deem necessary to enforce these Terms and to recover any cost associated with such action.

8.9 If your Account is cancelled, we will return your funds after deducting the value of trading fees, refunds, costs, expenses or damages to which we are entitled in accordance with these Terms and with any Applicable Laws and Regulations. You agree to provide a valid wallet address for the transfer of any remaining Digital Asset (less costs and fees) in your cancelled Account within the period of 30 days immediately following receipt of a request from us. If a valid wallet address is not received after these 30 days, you authorize us to liquidate the Digital Assets in your Account and to return your funds (less costs and fees) to any bank account linked to your Account. Notwithstanding the foregoing, OKX may continue to maintain custody of the assets of a suspended or cancelled Account or refuse to return them if so required by Applicable Laws and Regulations. All assets of cancelled accounts that cannot be returned may be deemed abandoned to the extent permitted by Applicable Laws and Regulations.

8.10 In addition to the foregoing and to the extent permitted by Applicable Laws and Regulations, if an Event of Default occurs, the following shall apply:

(a) Any delivery, payment or other obligation that you owe to any party (including, but not limited to, OKX) and pursuant to activities involving your Account shall become due, accrue or be accelerated so as to require performance on the date of such Event of Default ("Accelerated Obligations").

(b) Without prejudice to any other right that OKX may have under these Terms or otherwise, OKX shall be entitled to take all measures that it deems necessary in its complete discretion to protect its interests and satisfy the Accelerated Obligations, including, but not limited to, closing any open trading position, liquidating assets in your Account to pay any amount or obligation owed to OKX, and transferring assets to third parties in accordance with court orders.

8.11 Right of set-off and collection: In the event that there are insufficient assets in your Account due to a chargeback, transfer withdrawal, credit reversal, credit error or other similar event to satisfy a fee or cost charged on such assets in your Account, or that your Account is subject to a Lien that we determine to be valid, in our sole and absolute discretion, you expressly authorize us to freeze, debit, convert, withhold and liquidate any current or future Asset in your Account in the amount necessary to set off or satisfy any shortfall or to satisfy the Lien as permitted by Applicable Laws and Regulations. You acknowledge that you will be solely responsible for any and all tax consequences of any such action on our part. In the event that the disposition or liquidation of the Digital Assets is not sufficient to satisfy the shortfalls, you agree that you will immediately deliver in U.S. dollars (or in Local Currency) the total amount necessary to relieve the shortfall or you will be liable to us for the shortfalls, in addition to any attorneys' fees, interest or expenses associated with their recovery.

9. USERS’ RIGHTS AND LIMITATIONS TO LICENSE USE

9.1 We grant you a limited, non-exclusive and non-transferable license, subject to the Terms, to access and use our OKX Platform and our Services solely for the purposes permitted by us. You agree that you will not copy any of our products and Services, will not transmit them, will not distribute them, will not sell them, will not license them, will not reverse engineer them, will not modify them, will not publish them or participate in their transfer or sale, will not create derivative works from them or exploit them in any other way.

If you transfer Digital Assets or Local Currency to an incorrect Account and we control such Account, we will have sole discretion to reject such transfer and to return to you the corresponding amount of Digital Assets or Local Currency (after deducting the applicable handling fees).

H. If you breach any of the foregoing obligations, OKX has the right to take all necessary measures directly, including, but not limited to, the removal of the content you post, the cancellation of the customers' rating and reputation, the freezing of your balance, the pausing or seizure of your Account (and of any illegal gains) and criminal prosecution.

13.2 Expenses

OKX shall be entitled to deduct in any Local Currency all costs and expenses incurred in connection with this Clause 12.

14. COMPLIANCE WITH YOUR LOCAL LAWS AND TAXES

A. It is your sole responsibility to determine whether and to what extent taxes apply to the transactions you carry out through any of the Services, as well as to withhold, collect, report and remit the correct amounts of taxes to the appropriate tax authorities. You agree that we do not provide legal or tax advice and that we are not responsible for determining whether taxes apply to your transactions or for collecting, reporting, withholding or remitting any tax arising from any transaction. It is highly recommended that you consult a professional to determine your obligations and your tax situation in your home jurisdiction.

B. You agree to comply with all relevant laws and regulations in any relevant jurisdiction. With respect to the prevention of money laundering and terrorist financing ("AML "), as well as compliance with the laws and regulations of the applicable jurisdictions in general, we will work with the Competent Authorities and with local, regional, national and multinational authorities around the world, as necessary, and we may provide such authorities with any information relating to you. We may also access and disclose to external third parties the information we store relating to you if, in our sole discretion, we believe that doing so is necessary or appropriate to: (i) comply with relevant law enforcement or national security requests and legal process in any relevant jurisdiction, such as a court order or a subpoena; (ii) protect your rights, property or safety, ours or those of others; (iii) enforce our applicable terms of service, our user agreement, our trading rules, our operating rules, our policies or any other agreement; (iv) collect amounts owed to us; or (v) assist in an investigation or judicial proceeding regarding a suspected or actual illegal activity.P| C. By using our Services, you acknowledge, represent and agree to the following, in addition to undertaking to comply therewith: that all of your actions on and off this OKX Platform are carried out in a lawful and proper manner and that the origin of your Digital Assets and your Local Currency does not lie in illegal activities. 15. PRIVACY POLICY

15.1 Please refer to our Privacy Notice for information about how we collect, use, and share your information.

16. LIMITATION OF LIABILITY, WARRANTIES AND INDEMNIFICATION

Exclusion of Liability

16.1 Neither OKX nor any of its Related Parties shall be liable for any Loss resulting, directly or indirectly, from:

(a) any appeal between you and another User or Users;

(b) your breach of these Terms;

(c) your violation of Applicable Laws and Regulations; or

(d) any act or omission by a third party with access to your Account.

Limitation of Liability

16.2 NEITHER OKX, NOR ITS AFFILIATES, NOR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS AND REPRESENTATIVES SHALL BE LIABLE FOR ANY KIND OF INDIRECT, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE OKX PLATFORM OR SERVICES TO THE EXTENT PERMITTED BY APPLICABLE LAWS AND REGULATIONS. YOU AGREE THAT OKX SHALL NOT BE LIABLE FOR: (A) ANY AMOUNT IN EXCESS OF THE VALUE OF THE SUPPORTED ASSET IN QUESTION IN AN APPEAL OR THE TOTAL VALUE OF THE SUPPORTED ASSETS IN YOUR ACCOUNT (WHICHEVER IS LESS) AT THE TIME THE EVENT GIVING RISE TO YOUR CLAIM FIRST AROSE OR (B) ANY LOST PROFITS; LOST DATA; DIMINUTION IN VALUE OR BUSINESS OPPORTUNITY, LOSS OF GOODWILL OR REPUTATION, SERVICE INTERRUPTION OR SYSTEM FAILURE; LOSS, DAMAGE, CORRUPTION OR BREACH OF DATA OR ANY OTHER INTANGIBLE PROPERTY, OR ANY OTHER SPECIAL, INCIDENTAL, INDIRECT, INTANGIBLE OR CONSEQUENTIAL DAMAGES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, ARISING OUT OF THE AUTHORIZED OR UNAUTHORIZED USE OF THE OKX SERVICES OR IN CONNECTION WITH THESE TERMS, EVEN IF OKX HAS BEEN ADVISED OF, KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES IN ADVANCE, EXCEPT TO THE EXTENT THAT SUCH DAMAGES ARE JUDICIALLY DETERMINED TO HAVE RESULTED FROM GROSS NEGLIGENCE, FRAUD, WILLFUL MISCONDUCT OR INTENTIONAL VIOLATION OF LAW BY OKX. FOR EXAMPLE, AND WITHOUT LIMITING THE SCOPE OF THE PRECEDING SENTENCE, IF YOU CLAIM THAT OKX FAILED TO PROCESS A TRANSACTION PROPERLY, YOUR RECOVERABLE DAMAGES WOULD BE LIMITED SOLELY TO THE LESSER OF THE FOLLOWING TWO VALUES: THE VALUE OF THE DIGITAL ASSETS THAT ARE THE SUBJECT OF THE TRANSACTION AND THE TOTAL VALUE OF THE DIGITAL ASSETS IN YOUR ACCOUNT, AND YOU MAY NOT RECOVER LOST PROFITS, LOST BUSINESS OPPORTUNITIES, LOST GOODWILL OR REPUTATION, DIMINUTION IN VALUE OR OTHER TYPES OF SPECIAL, INCIDENTAL, INDIRECT, INTANGIBLE, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES. FOR THE PURPOSES OF THIS CLAUSE 15.2, A "SUPPORTED ASSET" IS AN ASSET THAT YOU CAN FREELY TRADE ON THE OKX CENTRALIZED EXCHANGE AND THEREFORE EXCLUDES DIGITAL ASSETS AVAILABLE EXCLUSIVELY THROUGH A DECENTRALIZED EXCHANGE.

16.3 WHERE A CLAIM ARISES IN CONNECTION WITH A SPECIFIC TRADE, OKX'S TOTAL LIABILITY TO THE USER SHALL BE LIMITED TO THE PURCHASE OR SALE AMOUNT OF THE TRADE UNDER APPEAL BY REFERENCE TO THE PRICE OF SUCH TRADE AT THE TIME IT TOOK PLACE OR AT THE TIME AT WHICH IT REASONABLY SHOULD HAVE TAKEN PLACE.

16.4 NOTHING IN THESE TERMS SHALL LIMIT THE LIABILITY TO YOU OF OKX OR ITS RELATED PARTIES RESULTING FROM THE FOLLOWING:

  • FRAUD OR FRAUDULENT MISREPRESENTATION;

  • WILLFUL MISCONDUCT, OR

  • DEATH OR PERSONAL INJURY RESULTING FROM THEIR ACTIONS.

16.5 THE EXCLUSIONS OR LIMITATIONS OF LIABILITY CONTAINED IN THIS CLAUSE 15 SHALL NOT LIMIT THE LIABILITY OF OKX THAT CANNOT BE EXCLUDED OR LIMITED UNDER THE RELEVANT APPLICABLE LAWS AND REGULATIONS. NOTWITHSTANDING ANYTHING ELSE IN THESE TERMS, IF AN APPLICABLE LAW IMPOSES A LIABILITY ON OKX THAT CANNOT BE EXCLUDED, BUT ALLOWS THE PARTY TO LIMIT SUCH LIABILITY, OKX'S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IF THE PARTY'S JURISDICTION DOES NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SOME OF THE LIMITATIONS SET FORTH ABOVE MAY NOT APPLY TO YOU.

Force Majeure Events

16.6 We shall not be liable for any delay or failure to perform as required by these Terms to the extent that the delay or failure is caused by a force majeure event. We may take any action that we deem appropriate in connection with these Terms.

Indemnification

16.7 To the extent permitted by Applicable Laws and Regulations, you hereby agree to immediately indemnify, hold harmless and defend OKX and the Related Parties and associates of OKX (including our respective agents and theirs , if any, the shareholders, directors, officers and employees of OKX and the affiliates and associates of OKX) (each of them an "Indemnified Party ") from and against any and all losses arising out of, or in connection with, any claim, loss, liability, damage, judgment, penalty, fine, cost and expense of any kind by third parties (including professional fees and reasonable attorneys' fees) that may be suffered or incurred by any of the Indemnified Parties arising from or relating to the following causes:

  • your access (or that of any of the User's authorized representatives) to your Account, the OKX Platform or the Services;

  • your breach of these Terms;

  • your violation of any Applicable Laws and Regulation;

  • your violation of the rights of any third party;

  • any false, inaccurate, confusing or misleading information that you provide to OKX in the course of OKX's offering of the Services under these Terms;

  • any investigation, claim, lawsuit, action or other proceeding by a governmental authority or a regulatory or self-regulatory agency or organization against one of the Parties as a consequence of or in connection with your use of any of the Services; or

  • any breach by the User of any of the representations, warranties and undertakings made by the User to us under these Terms.

16.8 If you are required to indemnify or defend OKX or any of its Related Parties, OKX shall have the right, in its sole and absolute discretion, to control any action or proceeding and to determine whether it wishes to settle and, if so, on what terms.

17. CHANGES

17.1 OKX has the right to modify, replace, supplement or delete (each of them, a "Modification ") these Terms or any part of these Terms.

17.2 OKX will make all reasonable efforts to notify you of a Modification by posting the revised Terms and changing the "last updated" date at the top of the Terms or by sending an email to Users at their provided email addresses or by any other means that we determine in our sole discretion. A Modification shall become effective immediately upon posting the revisions on the OKX Platform or at the moment we give notice of the Modification.
